These Terms & Conditions ("Terms") outline the rules and regulations governing your use of the [Company Name] marketplace ("Marketplace"), where users can buy and sell web and app UI templates ("Templates"). By using the Marketplace, you agree to be bound by these Terms.
1. Account Registration
- To utilize certain features of the Marketplace, you'll need to create an Account. You must provide accurate information and maintain the confidentiality of your login credentials.
- You are responsible for all activities occurring under your Account. Notify us immediately of any unauthorized use.
2. User Conduct
- You agree to use the Marketplace lawfully and responsibly. You will not:
- Upload or share Content that is defamatory, infringing, obscene, harmful, or promotes illegal activities.
- Interfere with the Marketplace's operation or impose an unreasonable burden on our systems.
- Attempt to gain unauthorized access to other Accounts or restricted areas of the Marketplace.
- Impersonate any person or entity, or misrepresent your affiliation.
3. License Grants
- Seller's License to Buyer: Upon purchase, Sellers grant Buyers a non-exclusive, non-transferable license to use a Template under the terms specified in the Template's accompanying license. Please review the license carefully before purchasing.
- Buyer Feedback: By submitting feedback or ratings, you grant us a non-exclusive, perpetual license to use and display your feedback publicly on the Marketplace.
4. Intellectual Property
- Respect of Rights: All Intellectual Property Rights related to Templates remain with the respective Seller. Buyers must adhere to the accompanying license terms. We respect the intellectual property of others and expect our users to do the same.
- Infringement Claims: If you believe your Intellectual Property Rights have been violated, please notify us immediately with a detailed description. We will investigate and take appropriate actions as per our Intellectual Property Policy.
5. Fees and Payments
- Pricing: Template prices are set by Sellers. We may charge commission on sales, or apply other fees as clearly communicated on the Marketplace.
- Payment Processing: We use secure third-party payment providers. We do not store your full financial information.
- Taxes: You are responsible for any applicable taxes associated with your transactions on the Marketplace.
6. Refunds and Cancellations
- Generally Non-Refundable: Due to the digital nature of Templates, purchases are non-refundable. This aligns with the Consumer Protection (E-commerce) Rules 2020 provisions regarding "essential digital content." Refunds or exchanges may be considered in limited circumstances:
- Technical Defect: If the Template is unusable due to a verifiable technical issue on the Seller's part, the Seller may be asked to provide support, offer a replacement, or approve a refund at their discretion.
- Template Misrepresentation: If the Template is significantly not as described, a Buyer may raise a dispute, and we may mediate to facilitate a resolution, including the possibility of a refund.
7. Disclaimer of Warranties
- Templates "As Is": Templates are provided "as is" without warranties of any kind. We make no guarantees regarding Template quality, suitability for a particular purpose, or non-infringement.
- Marketplace Functionality: While we strive to ensure reliable operation, the Marketplace may experience disruptions. We aren't liable for any loss arising from technical issues.
8. Limitation of Liability
- To the fullest extent permissible by law, we shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Marketplace, including loss of profits, data, or use, even if advised of the possibility.
9. Indemnification
- You agree to indemnify and hold us harmless from any claims or losses arising from your violation of these Terms or your use of the Marketplace.
10. Governing Law and Dispute Resolution
- These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts in Aligarh, Uttar Pradesh.
- We encourage good faith attempts to resolve disputes directly. If unsuccessful, we may offer mediation services before resorting to legal action.
